Acceptance of this agreement

This User agreement (“Agreement”) is entered into between you and JoyMatrixe (“we”, “us”, “our”). It governs your access to and use of joymatrixe.com and any related application, page, or feature we publish (the “Service”).

By installing, accessing, or using the Service, you confirm that you have read, understood, and agreed to this Agreement, our Terms of service, and our Privacy policy. If you do not agree with any part of these documents, please do not use the Service.

About this agreement

This Agreement works alongside the Terms of service. Where the two documents cover the same topic:

• The Terms of service describe the overall contract and govern disputes.
• The Privacy policy describes how we handle information.
• This Agreement adds the user-facing rulebook for the day-to-day use of the Service.

If a topic is covered only here, this Agreement controls for that topic.

Eligibility and age

To use the Service, you must:

• Be at least 13 years old. Where local law sets a higher age for digital consent, that higher age applies.
• Have the legal capacity to enter into a binding agreement in your country of residence.
• Not be barred from using the Service under any applicable law or by a previous suspension we have communicated to you.

If you are accepting this Agreement on behalf of an organisation, classroom, or clinic, you confirm that you have authority to do so.

Account registration and security

JoyMatrixe does not currently require you to create an account to use our core tools. You can browse, read, and practise without giving us a name, email, or password.

If we introduce optional accounts in the future, the following baseline will apply:

• You will provide accurate, current, and complete registration information.
• You will keep your credentials confidential and not share them.
• You will notify us immediately of any unauthorised use of your account.
• You are responsible for all activity that occurs under your account.

Acceptable use policy

When you use the Service, you agree that you will:

• Use it for personal, non-commercial wellbeing education, unless we have given written permission otherwise.
• Treat our team and other readers with respect.
• Choose practices that feel safe for your body and circumstances.
• Comply with all laws that apply to you.

You agree that you will not:

• Use the Service for any unlawful purpose, or to solicit unlawful acts.
• Attempt to access non-public areas of the Service, our servers, or the systems of our providers.
• Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures.
• Scrape, mirror, frame, or otherwise copy the Service or its content for commercial purposes without our prior written consent.
• Upload viruses, worms, or other malicious code, or interfere with the Service’s normal operation.
• Use the Service to harass, harm, defame, or impersonate any person or entity.
• Misrepresent the Service as a clinical, diagnostic, or emergency service.
• Circumvent, disable, or otherwise interfere with any security-related features.
• Encourage any third party to do any of the above.

We may use automated systems to detect patterns of abuse. Where we find evidence of a violation, we may take any of the actions described in section 11.

Your content and the license you give us

Most of what you create in the Service stays with you. Where you post, share, or otherwise make content visible to us or to others (“User Content”), the following terms apply:

• You retain ownership of your User Content.
• You grant JoyMatrixe a limited, non-exclusive, royalty-free, worldwide license to host, store, reproduce, modify for formatting, publish, and display your User Content for the sole purpose of operating the Service.
• The license ends when you delete your User Content or close your account, except where we are required to keep a copy by law.
• You confirm that you have the right to share the User Content and that it does not breach anyone’s rights.

We do not sell your User Content, and we do not use it to train advertising systems.

Our content and intellectual property

The Service — including the design, layout, copy, illustrations, photographs, audio loops, code, and the selection and arrangement of those elements — is owned by JoyMatrixe and our licensors, and is protected by copyright, trademark, database, and design rights laws in the United Kingdom and internationally.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial wellbeing education.

You may not:

• Reproduce, distribute, or publicly display our content for commercial purposes without our prior written consent.
• Use our trademarks (“JoyMatrixe”, the leaf mark, the wordmark, or any confusingly similar name) without permission.
• Remove or alter any copyright, trademark, or other proprietary notices.

Privacy and our Limited Use of data

JoyMatrixe follows Google’s Limited Use requirements for any data we receive through Google APIs or Google sign-in (where applicable). Specifically, we commit that we will:

• Use any data we receive from a Google API only to provide and improve the user-facing features of the Service that the user has requested.
• Not use data received from a Google API for advertising of any kind.
• Not transfer data received from a Google API to third parties except as necessary to provide the user-facing feature, as required by law, or with the user’s clear consent.
• Not use data received from a Google API to build a user profile for advertising or any unrelated purpose.
• Use reasonable security measures to protect any data received from a Google API.

The complete statement of how we handle personal information — including our lawful bases under the GDPR, the LGPD, and other applicable laws — is in our Privacy policy.

AI features and transparency

Some parts of the Service — including the AI guide — use generative AI models operated either by us or by a carefully chosen third-party provider.

When you interact with an AI feature:

• The text you send is transmitted to the model provider solely to generate a response for you.
• We have configured the provider not to retain your prompts or responses, and not to train on them.
• AI responses are educational. They are not medical advice, mental health treatment, legal advice, or professional advice of any kind.
• AI responses can be wrong. They may be outdated, oversimplified, or simply not useful for your situation. You are responsible for how you act on what you read here.
• If a response is not what you wanted, you can ask the guide to try again, or you can close the conversation.

We do not use AI to make decisions about you that have legal or similarly significant effects.

Service availability and modifications

JoyMatrixe is a small, evolving service. We may add, change, or remove features, content, or tools at any time. Where a change is significant, we will try to give reasonable notice through the Service or by email (if you have written to us).

The Service is provided on an as-available basis. We do not guarantee that the Service will be uninterrupted, error-free, or free from scheduled or emergency maintenance.

Suspension, termination and account deletion

Because JoyMatrixe does not currently require an account, most readers can simply close the tab to stop using the Service. If you have asked us to remember something — for example, an email message — you can ask us to delete it at any time.

If we introduce optional accounts in the future, the following baseline will apply:

• You can delete your account at any time. Deletion is offered in the same place where you manage your account, and you do not need to contact support to do it.
• When you delete your account, we will delete or anonymise your personal data within the timeframes required by the GDPR, the UK GDPR, the LGPD, and other applicable laws.
• Some information may be retained where we are required to keep it for legal, tax, or security reasons.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that:

• You have breached this Agreement, our Terms of service, or our Acceptable use policy.
• Your continued use would harm other readers, our team, or our infrastructure.
• We are required to do so by law, court order, or a competent regulator.
• We choose to discontinue the Service as a whole.

Sections that, by their nature, should survive termination — including Our content and intellectual property, Disclaimers, Limitation of liability, Indemnification, Governing law, and Dispute resolution — will survive any suspension or termination.

To request account or data deletion today, write to privacy@joymatrixe.com. We will respond within five business days.

Third-party services and links

The Service may link to or rely on third-party services. These include:

• Google APIs — for example, Google sign-in or Google-hosted fonts, where they help us serve the site.
• Hosting, email, and analytics providers — listed in our Privacy policy.
• External links — to research papers, books, or services run by other people.

We do not control, and we do not endorse, third-party services. Your use of them is governed by their own terms and privacy policies. Please review those documents before sharing any personal information.

Health and safety

JoyMatrixe is an educational wellbeing resource. It is not a medical device, and it is not a substitute for medical advice, diagnosis, or treatment by a qualified clinician.

Please:

• Stop any practice that causes physical or emotional discomfort.
• Talk to a doctor, therapist, or other qualified professional about any specific question you have about a medical or mental health condition.
• Contact local emergency services or a crisis line if you believe you or someone else may be in danger. Examples (UK: 999 / Samaritans 116 123; US: 988; EU: 112) are listed on our Contact page.

Feedback and suggestions

If you send us feedback, ideas, or suggestions about the Service, you grant JoyMatrixe a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that feedback into the Service without restriction or obligation to you.

We will not identify you as the source of feedback without your consent.

Disclaimers (no warranties)

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

We do not warrant that:

• The Service will be uninterrupted, error-free, secure, or free of viruses or other harmful code.
• The results obtained from using the Service will meet your specific needs.
• The quality of any information, practice, or AI response will meet your expectations.
• Errors in the Service will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, the exclusions above apply to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, JoyMatrixe, its directors, employees, contributors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Loss of profits, revenue, business, or anticipated savings.
• Loss of data, goodwill, or other intangible losses.
• Damages resulting from your access to, use of, or inability to access or use, the Service.
• Damages resulting from any conduct or content of any third party on or through the Service.
• Damages resulting from any AI response or other automated output.
• Unauthorised access, use, or alteration of your transmissions or content.

Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you have paid us in the twelve months immediately before the claim, or (b) one hundred pounds sterling (GBP £100).

Nothing in this Agreement is intended to exclude or limit liability that cannot be excluded under applicable law, including liability for fraud, for death, or for personal injury caused by negligence.

Indemnification

You agree to defend, indemnify, and hold harmless JoyMatrixe and its team from and against any and all claims, damages, losses, and reasonable legal fees arising out of or in connection with:

• Your use of the Service.
• Your breach of this Agreement, the Terms of service, or the Acceptable use policy.
• Your User Content.
• Your violation of any law or the rights of another party.

Changes to this agreement

We may revise this Agreement from time to time. When we do, we will update the “Last updated” date at the top of this page and, where a change is meaningful, we will note it on the Contact page and by a small banner at the top of the Service for at least 30 days.

The current version of this Agreement will always be available at joymatrixe.com/user-agreement. By continuing to use the Service after the revised Agreement takes effect, you agree to be bound by it. If you do not agree, please stop using the Service.

Governing law and jurisdiction

This Agreement, and any dispute or claim arising out of or in connection with it, is governed by and interpreted in accordance with the laws of England and Wales, without regard to its conflict-of-laws principles.

The courts of England and Wales shall have exclusive jurisdiction in relation to any matter that is not required to be referred to arbitration under section 20 below, including enforcement of any arbitral award. Nothing in this section removes any mandatory consumer protection you have under the law of your country of residence.

Dispute resolution

We would always rather talk than litigate. If you have a concern about the Service or this Agreement, please write to us first at legal@joymatrixe.com. We will read every message and reply within ten business days.

If we cannot resolve a concern informally within 60 days of your written notice, the remaining dispute will be settled by final and binding arbitration administered by the London Court of International Arbitration (LCIA) under its commercial rules then in force. The seat of arbitration will be London, the language will be English, and the tribunal will consist of one arbitrator.

Nothing in this section prevents either party from seeking interim or injunctive relief in a court of competent jurisdiction to protect a right that would be lost or seriously prejudiced by the time arbitration could be arranged.

For consumers in the EEA. If you are a consumer in the European Economic Area, you may also bring proceedings in the courts of your country of residence, and you benefit from any mandatory consumer protection laws of that country.

For consumers in Brazil. Under the LGPD, you may also file a complaint with the Autoridade Nacional de Proteção de Dados (ANPD) at gov.br/anpd.

Severability, entire agreement and assignment

Severability. If any provision of this Agreement is held by a competent authority to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full effect.

Entire agreement. This Agreement, together with our Terms of service and Privacy policy, constitutes the entire agreement between you and JoyMatrixe regarding the Service, and replaces any prior agreements on the same subject.

No waiver. Our failure to enforce any right or provision of this Agreement is not a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under this Agreement without our written consent. We may assign this Agreement to a successor in connection with a merger, acquisition, or sale of assets, with notice to you.

Headings. Section headings are for convenience only and have no legal effect.
